Terms governing access to and use of the Founders Circle platform.

These Terms of Service ("Terms") govern your access to and use of the Founders Circle website, applications, and community services (collectively, the "Service") operated by Founders Circle ("we," "us," or "our"). By accessing or using the Service, creating an account, submitting an application, or continuing to use the Service after we post updated Terms, you agree to these Terms. If you do not agree, do not use the Service.
Founders Circle is an invite-only, application-based community for founders, operators, and vetted investors. Membership is not guaranteed. We may approve, hold, or reject applications at our sole discretion. You must be at least 18 years old and able to form a binding contract. You represent that the information you provide in your application and profile is accurate and that you will keep it current.
Approved members may sign in using Google or an approved work email and password. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly at privacy@joinfounderscircle.org if you suspect unauthorized access. We may suspend or terminate access if we believe your account has been compromised or these Terms have been violated.
Founders Circle is built on trust, privacy, and candid support among members. You agree not to: harass, threaten, or discriminate against others; share another member's private communications outside the community without permission; scrape, spam, or solicit members in bad faith; impersonate any person or misrepresent your affiliation; upload malware or attempt to disrupt the Service; use the Service for unlawful purposes; or collect member data for unsolicited marketing. We may remove content, restrict features, or terminate membership for conduct that undermines community trust.
Founders use the Service to seek advice, introductions, and support. Investors and advisors who access the network agree to engage respectfully, honor confidentiality expectations, and not use member information for unrelated solicitation. Nothing in the Service constitutes investment advice, an offer to sell securities, or a guarantee of funding, employment, or business outcomes.
Certain features require an active membership or subscription. Paid plans, enterprise seats, and investor subscriptions are billed through Stripe. Fees, renewal terms, and cancellation rights are presented at checkout and in your account settings. Failure to pay may result in loss of access after any applicable grace period.
The Service may include AI-assisted tools for chat, matching, drafting, and application workflows. AI outputs are informational and may be incomplete or inaccurate. You are responsible for reviewing AI-generated content before relying on it. Do not submit sensitive personal data you are not authorized to share.
You retain ownership of content you submit to the Service. You grant us a non-exclusive, worldwide license to host, display, and process your content as needed to operate, secure, and improve the Service, including for moderation and support. You represent that you have the rights necessary to provide that content.
Our Privacy Policy and Cookie Policy explain how we collect and use personal data. By using the Service, you also agree to those policies.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOUNDERS CIRCLE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, create risk for the community, fail to pay applicable fees, or if we discontinue the Service. Sections that by their nature should survive termination will survive, including disclaimers, limitations of liability, and governing law.
We may update these Terms from time to time. If changes are material, we will provide reasonable notice through the Service or by email. Continued use after the effective date constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except where mandatory local law applies.
